FTI Consulting was engaged by a Canadian logistics group to support the acquisition and integration of a carve-out business. The client was seeking support from FTI Consulting during the due diligence phase to flag any potential separation dependencies, identify and quantify revenue and cost synergies, provide industry expertise in relation to the future operating model and plan for an effective integration of the carve-out operations. After signing the deal, the company retained FTI Consulting to advise and accelerate the integration program, oversee the delivery of the synergy case and support management with strategic communications services.
Our Impact
- The client unlocked millions of dollars in annualized synergies and secured acquisition financing and board approval for the transaction as a result of the more than 30 synergy initiatives across eight business functions that were identified, quantified and planned by FTI Consulting.
- The future-state operating models and detailed integration plans for each business function designed by our experts served as the blueprint for a seamless first-year transition roadmap. We actively managed all stakeholders, ensuring organization-wide alignment and momentum.
- Our strategic communications expertise allowed the client to actively manage all internal and external stakeholders, including transaction and integration updates, investor relations, public affairs, digital platforms and employee engagement.
- The acquisition strengthened our client’s position as a diversified supply chain solutions provider and bolstered its sector-focused capabilities. This improved position was further enhanced by an optimized cost base and harmonized organizational structure as a result of running an efficient integration program.
Our Role
- FTI Consulting paired industry and functional experts with senior client leaders to accelerate the identification and quantification of synergy opportunities.
- We developed comprehensive business cases to support each of the identified opportunities, including one-time and ongoing savings, one-time and ongoing incremental costs, high-level roadmaps, milestone timelines and effort required to achieve the opportunities.
- Our team designed cross-functional integration plans and established a streamlined Integration Management Office (“IMO”) to accelerate the program, oversee the delivery of the overall synergy case, seize additional upsides available, deploy risk mitigation strategies and ensure an efficient transition of responsibilities to the client team as soon as feasible.
- FTI Consulting developed and executed comprehensive communication strategies spanning pre-deal planning to post-close integration while proactively addressing the unique needs of each stakeholder group and ensuring alignment from the outset of the process.
